The Canadian Bar Insurance Association Annual General an special Meeting

Take notice that the 2024 Annual General and Special Meeting of The Canadian Bar Insurance Association (CBIA) shall be held at the Pillar and Post Inn & Spa, 48 John Street, Niagara-on-the-Lake, ON in the Niagara Room, on Friday, May 24, 2024, at 9:00 a.m. EDT (the “Meeting”).

At that time the Financial Statements and the Public Accountant’s report on the Financial Statements shall be presented, the Public Accountants for the ensuing year shall be appointed and the remuneration of the Public Accountants shall be fixed or shall be referred to the Directors for decision. Members will also be asked to consider the following resolutions: (A) resolved, as a special resolution, to change the corporate name from "The Canadian Bar Insurance Association / L’Association d’assurances du Barreau canadien" to "Lawyers Financial / Financière des avocates et avocats"; and (B) resolved to amend the By-law in the manner presented to the Meeting, making clarifications and changes to the definition of “By-law”, Remuneration of Directors clause, Committees clause, Appointment of Officers clause, Method of Giving Notices clause, Reports to Provincial Branches of CBA clause, Responsibility for the Corporation clause, and removing the Notices Published in CBA National Magazine clause, and, subject to legal and regulatory approval of the proposed name change of the Association, changing the name of the Association on the By-law to Lawyers Financial / Financière des avocates et avocats.

A copy of the 2023 Annual Financial Statements, a copy of the complete text of the resolutions to be voted on by Members, a redlined copy of the proposed By-law amendments, and forms of proxy will be available for examination at CBIA’s registered office at 5 Park Home Avenue, Suite 500, Toronto ON M2N 6L4 not less than 21 days before the date of the Meeting. Members may direct any request about the Meeting or procuring a copy of the 2023 Financial Statements or By-law amendments to the Secretary of CBIA at l.sullivan@lawyersfinancial.ca
